Terms of Service

These Terms govern your use of SetWise — both the desktop application and the website at setwise.site. By downloading, installing, or using SetWise, you agree to these Terms. If you don't agree, don't use SetWise.

1. Who we are

"SetWise" (we, us, our) refers to the SetWise desktop application and supporting services, operated from Chile. Contact: [email protected].

2. License grant

SetWise is licensed, not sold. Subject to these Terms and your active subscription or lifetime license, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use SetWise on the number of devices specified by your license tier, for personal or commercial DJ work.

3. License tiers

3.1 Free

• Local planner, Compatible Finder, Library Health, basic Set Builder
• Up to 10 saved sets, 10 archived, 10 in trash
• Up to 30 tracks per set
• No Rekordbox XML export, no AI Set Drafts, no advanced planner features

3.2 Pro Monthly / Pro Yearly

• All Free features
• Unlimited saved sets, unlimited tracks per set
• Rekordbox XML export
• Advanced planner: anchor tracks, segments, auto-detect duplicates, row-replace, set quality analyzer
• 50 SetPilot Set Drafts per month (Monthly) or 100 per month (Yearly, totaling 1,200 per year). SetPilot is SetWise's cloud AI feature.
• Up to 1 active device per license (Monthly) or 2 active devices per license (Yearly); extra activations require deactivating an old one

3.3 Pro Lifetime

• All Pro features, perpetually
• 3,000 SetPilot Set Drafts total over the lifetime of the license
• All future Pro features released on the same product line
• Up to 3 active devices per license

3.4 Pro Lifetime BYO ("Bring Your Own ChatGPT")

• All Pro features, perpetually
• No SetWise cloud AI included; you connect your own ChatGPT account locally
• Up to 5 active devices per license

Activation limits, AI quotas, and feature scope may evolve as the product matures. Material changes won't reduce what an existing paid license already grants you.

4. Acceptable use

You agree not to:

• Reverse-engineer, decompile, or disassemble SetWise, except where allowed by law
• Resell, sublicense, rent, or otherwise transfer your license to another person without our written consent
• Circumvent license validation, activation limits, or AI quota enforcement
• Use SetWise to process music libraries you do not have legal rights to
• Use SetWise to violate any law, infringe intellectual property, or harm others

5. Payment and billing

Paid licenses are sold and processed by Polar.sh, who acts as our Merchant of Record. Polar collects payment, calculates tax, and issues invoices. Your contractual relationship for the payment itself is with Polar; your contractual relationship for the software license is with us. Their terms and refund policy supplement ours where applicable.

Subscriptions (Monthly, Yearly) renew automatically until cancelled. You can cancel anytime from your Polar customer portal or by emailing [email protected]. Your license remains active until the end of the paid period.

6. Refund policy

The 14-day window applies to:

• First-time purchase of any tier (Pro Monthly, Pro Yearly, Pro Lifetime, Pro Lifetime BYO)

Refunds are not issued for:

• Subscription renewals (you can cancel before renewal to avoid the next charge)
• Repeat purchases of the same tier (you've already had a chance to evaluate)
• Requests outside the 14-day window

Where applicable consumer protection law (e.g., EU Consumer Rights Directive, Chilean Ley 19.496) grants stronger refund rights than this policy, those statutory rights apply.

7. Your data and privacy

SetWise is local-first: your music library, saved sets, and app state stay on your machine. We only process data described in our Privacy Policy. Read it; it's short.

8. Intellectual property

SetWise, the SetWise name, logo, and all related branding, code, and content are owned by us. Nothing in these Terms transfers ownership to you. Your music library and any content you create with SetWise (saved sets, prompts, etc.) remain yours.

9. Disclaimers — no warranty

SetWise is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied — including merchantability, fitness for a particular purpose, or non-infringement. We don't promise SetWise will be uninterrupted, error-free, or that AI Set Drafts will meet your expectations.

SetWise is a preparation tool. It does not output audio, beatmatch, or replace your DJ software during a live set. Always verify exported XML in Rekordbox before performing.

10. Limitation of liability

To the maximum extent permitted by law, in no event will SetWise be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of SetWise.

Our total aggregate liability under these Terms, regardless of cause, will not exceed the amount you paid to us (or to Polar.sh on our behalf) in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law (e.g., for gross negligence, willful misconduct, or where consumer protection law mandates otherwise).

11. Termination

You may stop using SetWise at any time and request deletion of your account-related data per the Privacy Policy. We may suspend or terminate your license if you materially breach these Terms, circumvent license enforcement, or use SetWise unlawfully. On termination, the rights granted to you in §2 end immediately; you must stop using SetWise and uninstall it. Surviving provisions: §6 (for legitimate ongoing claims), §8, §9, §10, §13.

12. Changes to these Terms

We may update these Terms as the product and the legal landscape evolve. Material changes will be reflected in the "Last updated" date at the top, and we will make a reasonable effort to notify active license holders by email when changes are significant. Continued use of SetWise after a change means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of Chile, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or your use of SetWise that is not resolved informally shall be brought in the competent courts located in Chile, except where mandatory consumer protection law in your country of residence grants you jurisdiction in your local courts (in which case those courts apply).

14. Miscellaneous

If any provision of these Terms is held unenforceable, the rest remain in effect. Our failure to enforce any right is not a waiver. These Terms are the entire agreement between you and us regarding SetWise, superseding any prior agreements.
